Governance framework

The Quilter plc (‘Quilter’) Board of directors is responsible for establishing an appropriate system of internal control within the Quilter plc group (‘Quilter’ or the ‘Group’) and for reviewing its effectiveness.

Quilter’s framework of internal governance is based on:

  • clear delegated authorities;
  • ensuring there is appropriate Board oversight and control of important decisions; and
  • efficient and effective management of day to day business.

The Quilter Board has approved a Group Governance Manual (‘GGM’) that explains Quilter’s approach to governance and sets out the policies, standards and processes by which the Group operates, ensuring that it takes into account all relevant statutory, regulatory and governance matters affecting Quilter.

Quilter is compliant with the UK Corporate Governance Code (the ‘Code’). The Code requires a Board to maintain a sound system of internal control to safeguard shareholders’ investments and the Group’s assets. The GGM is an integral part of meeting this requirement and the various regulatory regimes under which the Group operates.

The GGM is a key document that sets out the rules and procedures for making decisions on corporate affairs, demonstrates the Group’s internal control processes and will support the annual compliance statement by Quilter Board members, which is required to demonstrate compliance with the Code.
